In short

NRIs can apply for Indian IPOs using ASBA (Application Supported by Blocked Amount) through their NRE or NRO bank account linked to an NRI demat account. Applications fall under the NRI quota (within the Non-Institutional Investor category) limited to 15% of issue size. Refunds and allotment proceeds go back to the originating account.

  • Requires NRE or NRO bank account + NRI demat account (takes 4-8 weeks to set up)
  • Apply via NRI-enabled brokerage: Zerodha NRI does NOT support IPO applications
  • NRI applications fall under NII (HNI) category -- minimum Rs 2 lakh application
  • Gains from NRE account: freely repatriable; from NRO account: repatriation capped at $1M/year

NRIs -- including US citizens and green card holders of Indian origin -- can apply for Indian IPOs from the USA. The process requires an NRI brokerage account linked to an NRE or NRO bank account. Setup takes 4-8 weeks, but once in place, you can apply for any IPO that allows NRI participation via ASBA.

Prerequisites -- What You Need Before Applying

  • PAN card (mandatory -- apply online via NSDL or UTIITSL if you do not have one)
  • NRE or NRO savings account at an Indian bank (SBI, HDFC, ICICI, Axis all offer NRI banking)
  • NRI demat account linked to the above bank account
  • NRI-enabled trading account with a broker that supports ASBA-based IPO applications
  • FATCA/CRS self-declaration (all Indian financial institutions require this for non-residents)

NRI Quota and Category in Indian IPOs

CategoryWho applies% AllocationMin application
QIB (Qualified Institutional Buyers)Mutual funds, FPIs, insurance companies50%No retail minimum
NII/HNI (includes NRIs)HNIs, NRIs, corporate bodies15%Rs 2 lakh (~$2,400)
RII (Retail Individual Investors)Indian residents only (in most IPOs)35%Rs 14,000-15,000 per lot

NRIs cannot apply in the retail (RII) category in most IPOs. This is a common point of confusion. NRIs fall under the NII (Non-Institutional Investor) category, which requires a minimum application of Rs 2 lakh. You can apply for more lots, but the minimum is fixed at Rs 2 lakh regardless of lot size.

Step-by-Step ASBA Application Process

  1. Log into your NRI brokerage account (ICICI Direct NRI / HDFC Securities NRI / Kotak Securities NRI)
  2. Go to the IPO section and select the open IPO you want to apply for
  3. Check the IPO's Red Herring Prospectus (RHP) -- some IPOs explicitly restrict NRI participation
  4. Enter bid quantity (must be in lot sizes) and bid price (for book-built IPOs: typically bid at cut-off price)
  5. Funds are blocked in your NRE/NRO account via ASBA -- not debited until allotment
  6. Allotment results are announced 5-6 days after the IPO closes
  7. If allotted: shares are credited to your NRI demat account, blocked funds are debited
  8. If not allotted: blocked funds are released within 1-2 business days

Repatriation Rules After IPO Listing

Whether you can freely send your IPO gains back to the USA depends on which account type you used:

  • NRE account proceeds: Fully repatriable -- you can wire the money to any US bank account without limits
  • NRO account proceeds: Subject to the $1M annual repatriation limit per financial year, and TDS must be deducted first

For IPO investing where the primary goal is to repatriate listing gains back to the USA, use an NRE account only.

GMP (Grey Market Premium) for NRI Applicants

GMP is the unofficial premium at which IPO shares trade in the grey market before listing. It is India-specific -- the grey market operates entirely within India. NRI applicants use GMP as a signal of listing day sentiment, the same way Indian retail investors do.

One NRI-specific note: factor in the 20% TDS on short-term gains when calculating your net expected return. A 30% GMP-implied listing gain translates to approximately 24% after TDS deduction.

TDS is deducted before funds are released from your account. File an Indian ITR-2 each year to claim a refund if the TDS deducted was higher than your actual tax liability.
